User – A person who completes Griti’s account registration process. Users refer to both Learners and Mentors.
Mentor – A Griti User with Active Mentor status who offers help to students on various subjects.
Learner – A Griti User who seeks help through Griti’s Site and Services.
Content – Any form of intellectual property such as written text, images, video, graphics, software or other materials.
User Content – Any content posted by Griti Users through the Site.
Griti Content – Any content made available by Griti through the Site.
Electronic Communication – Any form of interaction between Users and/or Griti personnel through the Site or by sending/receiving emails.
Services – Any Services originating from Griti’s online platform like, but not limited to, Mentoring and payment processing.
Sessions – The time Learners and/or Mentors spend online in Griti’s Virtual Study Hall either on a one-to-one basis or through small groups.
Virtual Study Hall – Virtual Classroom with all tools and features on Griti’s Site using which Learners and Mentors interact during Sessions.
Griti Credits – The currency used to exchange value between Users within Griti’s Site.
Site – It includes Griti website and other existing and future apps developed by Griti or licensed by Griti from its third party partners.
Griti’s Site and Services are offered to you only on the acceptance of these Terms of Service. The failure to enforce any provisions of the Terms of Service will not mean they will not be enforced in future. If courts deem any of the Terms of Service invalid, then the provision will be enforced to the maximum extent permitted and other provisions will still remain intact.
You may obtain certain information through the use of the Site and its Services, including, but not limited to, technical, marketing, products, pricing and other valuable information that can be construed as confidential information. You must hold such confidential information in strict confidence and should not disclose to anyone. Griti has complete rights over such information. Any damages arising due to the disclosure of such confidential information will be borne by you.
The Terms will not apply to any disclosure of confidential information if you can prove legally with sufficient evidence that:
- You possessed such information before using Griti’s Site and Services.
- Such information is already in the public domain through no fault of yours.
- You obtained information from third party who had the right to disclose and did not have an obligation to keep the information confidential.
- You had to disclose to abide by the laws of the land and as a response to an order from government or court.
Griti’s Services, including interactions with Mentors and other Users, are intended to help students to learn. You are not permitted to use Mentors or other Users to complete your assignments on your behalf and you agree not to use Griti’s Services to violate the honor code of your school/university.
Overview of Services
Griti provides its Services for Learners and Mentors to connect and interact with each other via our online platform. Griti’s Services enable Mentors to support Learners online through tools such as interactive whiteboards, real time audio and video chat, and online messaging. Learning Sessions are held either in small groups or on a one-to-one basis.
Mentors list the topics with which they are proficient and ready to help Learners. The Mentor guarantees that he/she is knowledgeable in the subjects they sign up to teach. Griti screens and interviews all Mentors to confirm the authenticity of their educational qualifications and recruits quality expert Mentors, but does not take any responsibility for the actual performance of the Mentors.
Learners must have sufficient Griti Credits in their accounts to buy Mentoring Sessions. Detailed information about payment processes and Griti Credits are covered under ‘Payment Terms’ Section below.
The Site may not be available sometimes due to maintenance activities and hence Griti does not guarantee availability of the Site and Services at all times.
Account Registration & Usage
Only users above the age of 18 years are eligible to create a Griti account. If it is brought to our attentions that a person below 18 years has registered, we will immediately terminate his or her account. Only Users above 18 years can pay for mentoring sessions on their own. For Users below 18 years, the parents/guardians are requested to create the account, pay for the Services and monitor the usage.
You can join by creating an account directly on the Griti Site or through a social networking site (SNS). If you create an account through an SNS, we will obtain your personal information from the SNS and the information we collect will adhere to your privacy settings on the SNS.
You agree to provide correct information when you register and that you will update the information promptly should any changes arise. You take responsibility for keeping your login information safe and assume responsibility for any action taken using your account. You also agree not to permit others to use Griti’s Services through your account except if you are the parent/guardian of a Learner below 18 years of age and have created an account for them. In such instances, the intended Learner can use your account for accessing Griti’s Services.
The Sessions are charged on a per minute basis with a minimum time of 30 minutes for each Session and additional time in multiples of 30 minutes. Rates may vary based on the Mentor, subject, number of participants in a Session, Griti Credit package purchased or the type of Session scheduled. You are not permitted to transfer your Griti Credits to other accounts.
Institutions can sponsor Griti Credits for Learners and these will reflect in the Learners account once the Institution completes the purchase and allocation for such Credits. Learners can use such Griti Credits to schedule Sessions with Mentors and use other Griti Services.
Learners also earn Griti Credits for taking Sessions and will obtain 30 Griti Credits for every 8 hours of Sessions they use and can use them to schedule further Sessions with Mentors.
Mentors get Griti Credits as compensation for every Session they conduct. These Credits can be used by Mentors to schedule Sessions with other Mentors or can be cashed out.
Users can cancel a Session through the Site at any time before 24 hours in advance of the session start time. Please contact firstname.lastname@example.org should you have any concerns about a Session or wish to request a refund. Refunds and cancellations within 24 hours notice is at the sole discretion of Griti.
If you would like to close your account, please send us a request at email@example.com. We will delete your account but maintain an archival record for legal/business purposes.
You will be granted a non-exclusive, non-transferable, revocable license to access and use the Content posted by Griti. You shall use this content solely for your personal and non-commercial use. Such Content is protected by Copyright and other laws and is the property of Griti and its third party partners.
Griti does not claim ownership to the content shared by users through the site and its services but deems it to be non-confidential. Griti has the right to share such content with anyone for any purpose and the user grants an irrevocable, non-exclusive, transferable and royalty free license with the right to sublicense to other users.
Users also assume responsibility for such content and represent that he/she is the sole owner of the content or has the necessary rights to share and sublicense the content and shall absolve Griti of infringement of any Copyright or other laws arising due to sharing of User Content.
Copyright & Trademark Policy
Griti strictly adheres to Copyright and other intellectual property right laws and expects the same from all its Users. Griti has the right to terminate the account of any user found to be infringing such laws and as a consequence these Terms of Service.
You consent to receive electronic communication and agree that all notices, agreements, disclosures that are provided by email or on the site satisfy the legal requirement of having such communication in writing.
The Site may contain bulletin boards and other forums where the Users can post. You agree that you will only post meaningful and relevant content and will not defame, abuse, stalk or harass anyone on such forums. Griti has the right to monitor and remove content from such forums at its own discretion.
Third Party Services/Reports/Links
There may be links to third party websites on the Site but since GRITI has no control over them, Griti will not assume any liability for the availability of these sites or for the content, advertising, products and other materials available on these sites. Display of links does not mean that Griti endorses these sites. You assume full responsibility and risk for using such sites and do so at your own discretion.
Griti may display advertisements from third parties on the Site, but will not be liable for any disputes, damages, suits or liabilities arising out of dealings between you and those third parties.
Modifications to the Services/Platform
Griti may change the services offered on the platform at any time without notice by adding, modifying or deleting features and the latest Terms of Service will continue to apply to these new features. Griti reserves the right to discontinue the Site and its Services temporarily or permanently without prior notice and will not be held accountable by you or third parties for the modification, suspension or termination of the Site and its Services.
Modifications to the Terms
Griti reserves the right to modify the Terms of Service at any time and without notice. The modified Terms of Service will be posted on the Site and the old version becomes null and void. If you continue using the Site and its Services, it is assumed that you agree to abide by the new Terms of Service and will be held accountable to them.
Termination/Suspension of Account
Griti reserves the right to terminate or suspend your account or restrict the access to the Site and its Services at any time, with or without notice and with or without cause at its sole discretion. Griti can also terminate the account without notice, should you breach any conditions set forth in the Terms of Service. If you would like to close your account, please send us a request at firstname.lastname@example.org. We will delete your account but maintain an archival record for legal/business purposes.
You agree to indemnify and defend Griti and its subsidiaries, affiliates, shareholders, officers, directors, agents, licensors, suppliers, other partners, employees, and representatives against any claims, demands, losses, expenses, damages and/or liabilities, including reasonable attorney's fees and court costs arising out of or connected with your access to or use of the Site, Services or violation of these Terms of Services. You further agree that you will cooperate as requested by Griti in the defense of such claims. Griti reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by users, and you shall not, in any event, settle any claim or matter on behalf of Griti without the written consent of Griti.
The site and services of Griti are provided “AS IS” without any warranties, implied or expressed. We do acknowledge that the information, software, products and services provided through the site might have inaccuracies and errors and while we try to keep them to a minimum, we do not assume liability for any damages arising due to errors. We make periodic changes and reserve the right to make them at any point of time. Griti does not make any claims about the suitability, reliability, availability, timeliness and accuracy of the information, software, products and services provided through the site for any purpose.
Griti and its third party partners shall not be liable under any circumstances for any direct, indirect, special, incidental or consequential damages, including, but not limited to, loss of data or profit, arising out of the use of or the inability to use the site and its services.
Limitations of Liability
YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THE SITE, SERVICES AND COLLECTIVE CONTENT REMAINS WITH YOU. NEITHER GRITI NOR ANY OTHER PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE AND SERVICES WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, DAMAGES RESULTING FROM USE OF THE SERVICES, INCLUDING, WITHOUT LIMITATION, IF YOU CHOOSE TO MEET WITH A MENTOR IN PERSON, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS ARISING OUT OF OR IN CONNECTION WITH THESE USER TERMS OF SERVICE OR FROM THE USE OF OR INABILITY TO USE THE SITE, SERVICES OR COLLECTIVE CONTENT, OR FROM ANY COMMUNICATIONS, INTERACTIONS OR MEETINGS WITH MENTORS OR USERS CONNECTED WITH THE SITE OR SERVICES OR OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THE SITE OR SERVICES WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT GRITI HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
IN NO EVENT WILL GRITI'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE USER TERMS OF SERVICE OR FROM THE USE OF OR INABILITY TO USE THE SITE AND SERVICES EXCEED THE AMOUNTS YOU HAVE PAID TO GRITI FOR USE OF THE SITE AND SERVICES.
Any controversy, claim, suit or damage arising from or in any way related to the site or Terms of Service shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association and before a single arbitrator chosen by Griti. These shall be arbitrated on an individual basis and shall not be consolidated with similar claims or suits of any other party. The arbitration will be conducted in the State of California. Each party will assume their respective costs of arbitration.
This agreement shall be governed according to the laws of the State of California. The exclusive jurisdiction related to any disputes will be the courts in the State of California and all concerned parties waive any objections related to jurisdiction and venue in such courts.
These terms constitute the entire agreement between you and Griti and supersede any previous versions of the Terms of Service. You will not be permitted to transfer the terms or any right granted under these terms. You might be subject to additional terms when using Griti or other third party services.
